Sony has reportedly offered Shailene Woodley (The Descendants) the role of Mary Jane Watson in The Amazing Spider-Man sequel.  Woodley starred in the ABC Family series The Secret Life of the American Teenager, which is about to end after this season.  Her role as George Clooney’s savvy teenage daughter in The Descendants was her feature film debut and earned her a Golden Globe nomination.  According to usually authoritative Deadline, Woodley’s "deal (to star as Mary Jane) will close soon."

Andrew Garfield will return as Peter Parker and Marc Webb will helm the Amazing Spider-Man sequel, which will start film in 2013 for May 2nd, 2014 debut (see "'Amazing Spider-Man 2' Set").
